1. Introduction

These Terms of Service ("Terms") govern the use of all services and products provided by VEPANDO, a sole proprietorship (ZZP) registered in the Netherlands, hereinafter referred to as "VEPANDO," "we," "us," or "our." By using our services, you agree to comply with these Terms. Please read them carefully.

2. Services

VEPANDO offers the following services:

• AI Consultancy: Advice and strategic planning for integrating AI and automation technologies into business processes.

• Tailored AI Solutions: Custom AI applications designed to address specific business challenges.

• AI-Driven Digital Marketing: Utilizing AI to optimize digital marketing strategies and improve ROI.

• Process Automation: Automating administrative tasks and business processes to increase efficiency.

• Educational Programs: Workshops and training to equip teams with the knowledge and skills to effectively use AI tools.

3. License and Intellectual Property Rights

3.1 License

VEPANDO grants clients a non-exclusive, non-transferable license to use the AI solutions solely for internal business purposes.

3.2 Usage Restrictions

The services must not be used for illegal activities or to cause harm to third parties. The license is limited to use within the client’s business and may not be resold or shared with third parties without VEPANDO's written consent.

3.3 Intellectual Property

VEPANDO retains all intellectual property rights to the AI solutions developed unless otherwise agreed upon in a specific contract with the client.

4. Payment Terms

4.1 Invoicing

All services are billed in advance based on an agreed amount. Invoices must be paid within 14 days of the invoice date.

4.2 Late Payments

A late fee of 1.5% per month may be charged on overdue amounts. VEPANDO reserves the right to suspend services until payment is received.

4.3 Refunds

Refunds are assessed on a case-by-case basis, primarily for services that were not delivered as agreed. Generally, refunds are not provided for digital products or completed projects.

5. Limitation of Liability

5.1 Indirect Damages

VEPANDO is not liable for indirect, incidental, or consequential damages, including loss of profits or data. The total liability of VEPANDO shall in no event exceed the total amounts paid by the client for the relevant services.

5.2 No Warranties

VEPANDO makes no express or implied warranties regarding the accuracy or reliability of the AI solutions. All services are provided "as is" without any warranty.

6. Termination of Services

6.1 Grounds for Termination

VEPANDO may terminate services in the event of non-payment, breach of these Terms, or if the client engages in illegal activities.

6.2 Data Retention After Termination

Upon termination of services, client data will remain accessible for export by the client for 30 days. After this period, the data will be permanently deleted from VEPANDO's systems.

7. Intellectual Property

7.1 Client Content

All content and data provided by clients remain their property, but VEPANDO has the right to use it for the provision of agreed-upon services.

8. Confidentiality

8.1 Protection of Information

VEPANDO treats all client information as confidential and uses it solely for the provision of agreed services. Strict measures are taken to protect this information from unauthorized access or disclosure.

9. Service Updates and Changes

9.1 Notification of Changes

Clients will be informed of significant updates or changes to services via email or the website. Major changes will be announced 30 days in advance.

10. Dispute Resolution

10.1 Mediation and Arbitration

Disputes will be resolved initially through mediation. If mediation fails, arbitration will be conducted in accordance with the rules of the Netherlands Arbitration Institute (NAI).

11. Acceptable Use

11.1 Prohibited Activities

Clients may not use VEPANDO’s services for illegal activities, spreading malicious software, or infringing upon the rights of others. Misuse of services may result in immediate termination.

12. Service Level Agreement (SLA)

12.1 Uptime Guarantee

VEPANDO strives for 99% uptime for its services. Support requests are typically responded to within 24 hours.

13. Export Control

13.1 Compliance with Laws

VEPANDO complies with all applicable export laws and regulations. Clients may not export AI solutions to countries or entities under export restrictions without proper licenses.

14. Subcontractors

14.1 Use of Subcontractors

VEPANDO may engage subcontractors for specific aspects of the services but remains responsible for the quality and compliance of the services provided.

15. Governing Law

15.1 Jurisdiction

These Terms and any disputes arising out of or in connection with them are governed by and construed in accordance with Dutch law.

16. Changes to the Terms

16.1 Right to Modify

VEPANDO reserves the right to modify these Terms at any time. Changes will take effect once published on our website. It is the client’s responsibility to regularly review the Terms for updates.
